Dividend 2026
The Annual General Meeting of Uniper SE on 20 May 2026 resolved to distribute a dividend of €0.72 per share for the 2025 financial year.
Tax-free distribution
As the dividend for the 2025 financial year is paid in full out of the tax contribution account (steuerliches Einlagekonto) within the meaning of Section 27 of the German Corporate Income Tax Act (KStG), it will be distributed free of withholding tax (Kapitalertragsteuer) and solidarity surcharge. For shareholders resident in Germany, the dividend for the 2025 financial year is therefore not subject to taxation in this case. No tax refund or tax credit is associated with this dividend.
Dividend policy
In parallel with the resumption of the currently proposed distribution, Uniper is currently developing a comprehensive framework for a longer-term dividend policy that combines continuity with business flexibility.

History of dividend capacity
2022: As part of the stabilization package between the Federal Republic of Germany and Uniper, it was agreed in 2022 - in accordance with the applicable statutory restrictions - that Uniper would not make any dividend distributions during the stabilization phase without the consent of the Federal Republic of Germany.
December 2023: Uniper restored its on-balance-sheet ability to distribute and accumulate profits as a result of a share capital reduction with the allocation of the reduction amount to the capital reserve.
December 2025: Due to the amendment of the Federal Act on the Security of Energy Supply (EnSiG – German Energy Security Act), Uniper SE now has the legal option to distribute a dividend to all shareholders, subject to the general requirements. The annual decision on a possible distribution is the responsibility of the Annual General Meeting.
